BUSINESS RA FORM

This Business Retainer Agreement (the "Agreement") is entered into as of Date: by and between Client Name: with principal address: and Service Provider Name: with principal address: .

WHEREAS

WHEREAS, Client requires business advisory, registered agent, or related professional services (the "Services") as described herein; and

WHEREAS, Service Provider represents that it has the experience, qualifications, and personnel necessary to perform the Services and agrees to provide such Services to Client under the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Service Provider will perform the Services and Client will compensate Service Provider.

SCOPE OF WORK

Service Provider shall perform the Services described below for Client. The Services may include, but are not limited to, corporate representation, registered agent services, filings, advisory work, document management, and other tasks reasonably related to Client's business operations.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the Services. All fees are exclusive of taxes unless otherwise stated. Payment obligations are non-cancellable except as expressly set forth in this Agreement.

Any undisputed amount not paid when due shall accrue interest at a rate of percent per month (or the maximum lawful rate if lower). In addition to interest, Client shall reimburse Service Provider for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon delivery of written notice at least days prior to the effective date of termination. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice specifying the breach.

Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination. Sections concerning confidentiality, indemnification, payment of undisputed fees, and governing law shall survive termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other whether oral, written, or electronic, including business plans, financial data, customer lists, and proprietary processes. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) restrict disclosure to employees, agents, or subcontractors with a need to know and subject to obligations of confidentiality at least as protective as those in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules or exhibits attached hereto and any written statements of work signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations, representations and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or by operation of law. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of either party to enforce any right or remedy under this Agreement shall not constitute a waiver of that right or remedy.
