BUSINESS RAD DOCUMENT

This Business RAD Document (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client desires to engage Service Provider to perform rapid application development services and associated business advisory tasks as described herein (collectively, the "Services"); and

WHEREAS, Service Provider represents that it has the capability, expertise and personnel necessary to perform the Services in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Services, payment, confidentiality and other matters.

SCOPE OF WORK

Deliverables shall be provided in accordance with the milestones and acceptance criteria set forth above. Changes to scope that materially affect schedule or price shall be subject to a written change order executed by both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth above in U.S. dollars. Service Provider shall submit invoices in accordance with the payment schedule. Payment is due within days of invoice receipt unless otherwise provided in writing.

All fees are exclusive of taxes. Client is responsible for any taxes, duties or charges imposed by governmental authorities, excluding taxes based on Service Provider's net income.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all Services performed and expenses incurred up to the effective date of termination, together with any non-cancellable commitments incurred by Service Provider.

CONFIDENTIALITY

"Confidential Information" means information disclosed by one party to the other that is identified as confidential or that, by its nature, a reasonable person would understand to be confidential, including business plans, technical data, designs, trade secrets, customer lists, pricing, and source code.

Each party shall: (a) use Confidential Information solely for the performance of this Agreement; (b) protect Confidential Information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information shall not include information that is (i) publicly available through no breach of this Agreement; (ii) rightfully received from a third party without restriction; (iii) independently developed without use of Confidential Information; or (iv) required to be disclosed by law, provided the disclosing party gives prompt notice to the other party and cooperates in any lawful effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of or related to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices shall be delivered to the addresses set forth above by certified mail, nationally recognized courier, or email with confirmation of receipt and shall be effective upon receipt.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or a successor by merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
