This Business RAI Document ("Agreement") is entered into as of Effective Date: by and between Company Name: ("Company") and Counterparty Name: ("Counterparty").

RECITALS

WHEREAS, Company has issued a request for additional information or documentation (RAI) related to the business activities, products or services described in Project/Reference: ; and

WHEREAS, Counterparty has the knowledge, personnel and materials necessary to respond to the RAI and is willing to provide the requested responses, data and supporting documentation on the terms set forth herein.

SCOPE OF WORK

Counterparty shall perform the following services and furnish all deliverables reasonably necessary to fully respond to the RAI in accordance with the standards and schedule set forth below. Counterparty shall perform services in a professional manner consistent with industry practice.

PAYMENT TERMS

Fees: Company shall pay Counterparty a total fee of $ for the services described above, subject to the invoice and verification procedures set forth herein.

Invoices: Counterparty shall submit itemized invoices to Company. Payment is due within days of Company's receipt of a properly submitted invoice.

Late Payment: Any undisputed past-due amount shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law, calculated monthly and compounded.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue in effect until End Date: , unless earlier terminated as provided herein.

Termination Without Cause: Either party may terminate this Agreement for convenience upon providing written notice to the other party at least prior to the effective termination date.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within after receipt of written notice describing the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other in any form that is identified as confidential or that a reasonable recipient would understand to be confidential.

Obligation: Recipient shall hold Confidential Information in strict confidence, shall not use it except to perform obligations under this Agreement, and shall not disclose it to any third party except as expressly permitted herein. Recipient shall employ at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Duration: The obligations in this section shall survive termination or expiration of this Agreement for a period of , except with respect to trade secrets, for which obligations shall survive as long as the information remains a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

Relationship of Parties: The parties are independent contractors. Nothing in this Agreement shall be deemed to create a partnership, joint venture or agency relationship, and neither party shall have authority to bind the other except as expressly provided herein.

Severability: If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.
