BUSINESS RAIF AGREEMENT

This Business RAIF Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, the Fund has been established as a reserved alternative investment vehicle that requires operational, regulatory and administrative services in connection with its business operations and investor relations; and

WHEREAS, the Service Provider represents that it has the experience, personnel and resources necessary to provide the services described in this Agreement and will perform such services in accordance with applicable laws, regulatory requirements and professional standards; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows.

Scope of Work

The Service Provider shall perform the services set out below for the Fund. The parties acknowledge that the described services form an integral part of this Agreement and that any material change in scope shall be documented in writing and signed by both parties.

Payment Terms

Compensation for services rendered by the Service Provider shall be as follows. The Fund shall pay the Service Provider the fees described below in consideration for satisfactory performance of the Scope of Work.

All amounts payable under this Agreement are exclusive of taxes, duties and levies. The party responsible for taxes:

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period following written notice. Either party may also terminate for insolvency, bankruptcy, or assignment for the benefit of creditors, effective upon written notice.

Confidentiality

Each party shall keep confidential all proprietary or non-public information disclosed by the other party in connection with this Agreement and shall not use such information except as necessary to perform its obligations hereunder. Confidential information does not include information that: (a) is or becomes public through no fault of the receiving party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; or (c) is independently developed by the receiving party without use of the disclosing party's confidential information.

The receiving party may disclose confidential information to its affiliates, directors, officers, employees, professional advisers and permitted subcontractors who have a need to know, provided that such persons are bound by obligations of confidentiality at least as restrictive as those contained herein. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, or longer if required by applicable regulation.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party and its affiliates from and against any third-party claims arising out of the indemnifying party's willful misconduct, gross negligence or breach of this Agreement. Except for breach of confidentiality, willful misconduct, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of each party for direct damages arising out of this Agreement shall not exceed the fees paid or payable by the Fund to the Service Provider in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits or written amendments signed by the parties, constitutes the entire agreement and understanding between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that the Fund may assign to an affiliate or successor entity or in connection with a sale of substantially all of its assets. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party may designate in writing.
