BUSINESS RAMP STATEMENT

This Business Ramp Statement (the "Statement") is entered into as of by and between:

WHEREAS, Company is engaged in providing the services and operational support described herein, and Client desires to obtain from Company a defined ramp-up of services, personnel, systems and performance metrics to achieve specified business objectives; and

WHEREAS, the parties intend to set forth in this Statement the scope, milestones, payment arrangements and responsibilities that will govern the ramp-up phase and associated deliverables, such ramp-up to be integrated into the operative services agreement between the parties where applicable; and

WHEREAS, the parties acknowledge that timely collaboration and documented acceptance of ramp milestones are material to achieving the agreed targets and avoiding disputes.

Company will perform the ramp activities described below in accordance with the schedule and performance targets set forth in this Statement. All deliverables are to be completed in a professional manner consistent with industry standards.

TERM AND TERMINATION

Either party may terminate this Statement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve Client of obligations to pay for services performed and accepted through the effective date of termination, nor relieve Company of obligations to deliver completed work already paid for, subject to set-off for proven damages.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any Confidential Information disclosed by the other party in connection with this Statement. Confidential Information means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidentiality obligations survive termination of this Statement for a period of two (2) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of law principles. ENTIRE AGREEMENT

This Statement, together with any referenced exhibits and the underlying services agreement between the parties (if any), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or amendment to this Statement must be in writing and signed by authorized representatives of both parties.

If any provision of this Statement is held invalid or unenforceable, the remainder of this Statement will remain in full force and effect, and the parties shall negotiate in good faith a substitute provision that best effectuates the original intent.
