Recitals

WHEREAS, Client Name: (the "Client") requires services in relation to the Project described below; and

WHEREAS, Contractor Name: (the "Contractor") represents that it is duly licensed, qualified and authorized to perform the services and holds RBQ License Number: and carries necessary insurance and bonding; and

WHEREAS, the parties desire to set forth their understanding and agreement with respect to the Contractor's performance of the work and associated business terms.

Scope of Work

The Contractor shall perform the work described below in a professional manner in accordance with industry standards and all applicable laws and regulations.

Payment Terms

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered not less than Notice Period (days): days prior to the proposed termination date. Termination for cause may be immediate upon written notice if a material breach is not cured within thirty (30) days after receipt of written notice of such breach.

Upon termination the Contractor shall be entitled to payment for services performed and materials delivered through the date of termination, subject to set-off for any amounts due to the Client for defective work or breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other related to business, technical, financial or contractual matters. The receiving party shall (a) hold Confidential Information in confidence, (b) not disclose it to third parties except to employees, agents and subcontractors who have a need to know and are bound by confidentiality obligations, and (c) use Confidential Information solely to perform obligations under this Agreement. Confidentiality obligations do not apply to information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party, or is independently developed by the receiving party.

Representations, Warranties and Compliance

The Contractor represents and warrants that it has the skill, experience and professional licenses required to perform the Scope of Work, that its employees and subcontractors are suitably qualified, and that all work will be performed in compliance with applicable laws, codes and regulations. The Contractor shall maintain all required insurance and provide evidence of such insurance to the Client upon request.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct, except to the extent caused by the gross negligence or willful misconduct of the indemnified party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

Entire Agreement and Modification

This Agreement, including its recitals and any written attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings and agreements. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that assignment to an affiliate or in connection with a sale of substantially all assets is permitted with notice.

Notices: Any notice required or permitted under this Agreement must be in writing and delivered to the addresses set forth in the Parties section above or to such other address as a party may specify in writing.
