Recitals

WHEREAS, Client and Contractor wish to enter into this Agreement to set forth the terms under which Contractor will provide services to Client; and

WHEREAS, the parties desire to memorialize their respective rights and obligations effective as of (the "Effective Date").

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Work

Contractor shall perform the services described below for Client in a professional and workmanlike manner in accordance with industry standards.

2. Payment Terms

Compensation for the services set forth in Section 1 shall be as follows.

Late payments shall incur a late fee equal to % of the overdue amount plus interest at a rate of % per month, calculated daily, after a grace period of days following the invoice due date.

3. Term and Termination

This Agreement shall commence on and shall continue in full force until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach.

4. Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other, whether oral, written, electronic or embodied in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that (a) is or becomes publicly known through no breach of this Agreement by the receiving party, (b) is rightfully received from a third party without restriction, (c) is independently developed by the receiving party without use of Confidential Information, or (d) is required to be disclosed by law, provided that the receiving party gives the disclosing party prompt written notice and cooperates to seek a protective order or other confidential treatment.

The receiving party shall (i) protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care, (ii) use Confidential Information solely to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those in this Agreement. The obligations in this Section shall survive termination of this Agreement for a period of years.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

6. Miscellaneous

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party notifies the other in writing.

7. Entire Agreement

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute valid and enforceable provision that most nearly effects the parties' intent.
