WHEREAS, Client requires certain goods and/or services related to business review, compliance and consulting as more particularly described in this Agreement; and

WHEREAS, Contractor represents that it has the qualifications, experience and ability to perform the services described in this Agreement and is willing to provide such services under the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. Scope of Work

Contractor shall perform the services and deliverables described below. Contractor shall perform such services in a professional and workmanlike manner consistent with industry standards.

2. Payment Terms

Compensation to Contractor shall be as follows. All amounts are in U.S. dollars and exclude applicable taxes unless stated otherwise.

Fixed Fee Time & Materials Retainer

Late payments will bear interest and fees as set forth below.

3. Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within a Cure Period of thirty (30) days after receipt of written notice specifying the breach. Notwithstanding the foregoing, either party may terminate for convenience upon written notice of days to the other party.

Upon termination, Contractor shall be entitled to payment for all services properly performed and reimbursable expenses incurred through the effective date of termination. Client shall have no liability for services not performed.

4. Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means non-public business, technical or financial information disclosed in written, electronic or oral form and identified as confidential or that reasonably should be understood to be confidential. Confidentiality obligations shall continue for a period of years from disclosure, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

The Receiving Party may disclose Confidential Information to its employees, contractors and advisors on a need-to-know basis, provided such persons are bound by confidentiality obligations no less protective than those contained herein. The Receiving Party may disclose Confidential Information to the extent required by law, regulation or court order, provided that, to the extent permitted, the Receiving Party provides prior written notice to the Disclosing Party and cooperates in any effort to limit or protect the disclosure.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the courts located in that State for any disputes arising under this Agreement.

6. Entire Agreement; Amendment

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.

7. Miscellaneous Provisions

a) Independent Contractor. Contractor is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership or agency relationship between the parties.
b) Insurance. Contractor shall maintain insurance customary for the services provided and provide proof of coverage upon reasonable request.
c) Indemnification. Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, damages or expenses arising from its breach of this Agreement or its negligent or willful acts or omissions.
