What the Business RE Template Is and When to Use It

Business RE Template is a standardized document framework used for commercial real estate transactions and related business arrangements. It organizes essential sections such as parties and authority, property description and legal identifiers, term and extensions, rent or consideration, contingencies, representations and warranties, insurance and maintenance obligations, and exhibits like site plans or schedules. The template can be adapted for leases, purchase memoranda, letters of intent, or addenda. Properly completed and signed, it creates a written record suitable for recording, notice, and electronic execution under applicable U.S. e-signature law.

Why a Standard Business RE Template Matters

Using a consistent Business RE Template reduces negotiation friction, prevents omissions, and clarifies obligations between parties. It streamlines review cycles, supports legal and tax compliance, preserves evidence of agreed terms, and eases electronic routing and signature capture under ESIGN and state UETA rules.

Why a Standard Business RE Template Matters

Typical Users and Stakeholders

Intended users include commercial brokers, property managers, landlords, tenants, corporate real estate teams, and outside counsel who handle transactional documents.

  • Commercial brokers and leasing agents handling term sheets, LOIs, and standardized lease language.
  • Property managers and asset managers completing operational sections and maintenance obligations.
  • In-house counsel and outside lawyers reviewing indemnities, title conditions, and assignment provisions.

Each stakeholder uses the template differently: brokers for deal terms, managers for operations clauses, counsel for legal protections, and finance teams for payment and tax fields.

Who Signs and Executes This Template

Authorized Signer, Company Officer

A person with board or corporate resolution authority who can bind the entity. Confirm corporate authority in a board resolution or officer certificate before execution to avoid disputes.

Agent, Real Estate Broker

Brokers or agents may sign with a signed power of attorney or written agency authorization. Include agent contact details and scope of authority on the signature page.

Core Sections Included in a Professional Business RE Template

A complete Business RE Template groups clauses into discrete, labeled sections so reviewers can quickly locate material terms and exhibits during negotiation and closing.

Property Description

Precise legal description, street address, parcel number, and any easements or encumbrances, ensuring the property is unambiguously identified for title and recording purposes.

Parties and Authority

Full legal names, entity types, state of formation, and signing authority statements; include EIN or tax ID where relevant for reporting and payments.

Term and Renewal

Start and end dates, renewal options, early termination mechanics, and any holdover provisions that affect occupancy and rent obligations.

Rent / Consideration

Payment amounts, schedule, deposit handling, late fees, and allocation of taxes or common area maintenance charges when applicable.

Conditions & Contingencies

Due diligence windows, financing contingencies, inspection rights, and remedies tied to unmet conditions precedent.

Exhibits and Schedules

Attach site plans, rent schedules, insurance requirements, and tenant improvement allowances as enforceable contract exhibits.

Step-by-Step: Complete and Execute the Template

Follow these sequential steps to prepare, review, sign, and store the Business RE Template correctly.

  • 01
Prepare Draft: Populate parties, property, and primary terms first.
  • 02
Attach Exhibits: Add legal description, plans, and schedules as separate exhibits.
  • 03
Review and Approve: Circulate to counsel and stakeholders for redlines and consent.
  • 04
Execute and Record: Collect signatures, notarize if required, and submit for recording.

Configure the Electronic Workflow Before Sending

Set signer order, authentication, and reminders to match signatory roles and approval flow.

Field Configuration
Recipient Authentication Email plus SMS code or KBA when higher assurance required
Routing Order Sequential signing where approvals must follow a strict order
Reminders Auto reminders every 3 days until completion
Audit Trail Enable full activity log and timestamps

Typical eSignature Flow for the Template

A predictable signing flow reduces friction and creates an audit trail for future enforcement or recording.

  • Upload Document: Add finalized PDF or DOCX to the signing platform.
  • Place Fields: Insert signature, initials, date, and custom input fields where needed.
  • Assign Signers: Map each field to a signer and set order.
  • Send & Track: Distribute signing links and monitor completion status.

Platform and File Requirements

Use a platform that accepts PDF and DOCX and produces an auditable signed record compatible with county recorders.

  • File Types: PDF, DOCX supported
  • Integrations: CRM and storage connectors
  • Authentication: Email, SMS, or stronger

Export Options and Supporting Documents

Maintain consistent formats and a complete document set for recording, lender review, and internal retention.

Download Formats

Export the executed package as a single PDF/A and retain the embedded audit certificate and individual signer evidence for compliance and archival needs.

Supporting Documents

Attach title reports, proof of authority, certificates of incumbency, and insurance certificates as exhibits to the template when required by lenders or recorders.

Version Control

Keep a changelog and preserve pre-execution drafts and redlines to document negotiation history and dispute resolution evidence.

Audit Trail

Retain a tamper-evident audit log with timestamps, IP, and signer authentication metadata for future legal or title review.

Consequences of Errors or Omissions

Recording Rejection: Missing acknowledgement
Clouded Title: Incorrect legal description
Invalid Signature: Unauthorized signer
Tax Withholding: Missing TIN triggers backup withholding
Late Filings: County penalties or interest
Contract Dispute: Ambiguous terms invite litigation

Common Preparation Mistakes to Avoid

  • Using an incomplete legal description or omitting the parcel identifier, which can prevent successful recording and create title disputes.
  • Failing to confirm signatory authority or corporate resolutions before execution, which can later render a signature ineffective or cause lender rejection.
  • Attaching unsigned or draft exhibits that contradict core terms, creating ambiguity and potential enforcement issues during closing or disputes.
  • Relying on handwritten or partial signatures without an audit trail for electronic execution, increasing the risk of challenges to authenticity.

Practical Tips for Accurate Completion

Adopt consistent checks and records practices to reduce errors and preserve enforceability.

Verify Legal Names and Authority
Confirm the exact legal name and that signers have authority to bind entities; obtain a corporate resolution or incumbency certificate when an entity signs.
Use Complete Legal Descriptions
Include the official parcel description or attach a recorded plat to avoid recording rejections and ensure the transaction affects the intended property.
Initial Each Page
Have parties initial each page and sign the signature block to prevent claims of missing pages or altered terms after execution.
Preserve Audit Evidence
Keep the electronic audit trail, PDF/A export, and notarization recordings when RON is used to strengthen the chain-of-custody for future title or enforcement needs.
