What the Business REA Template Is

The Business REA Template is a standardized real estate assignment and agreement form used by companies to record the transfer, assignment, or restructuring of real property-related rights and responsibilities within commercial transactions. It combines parties' identifying details, property description, consideration terms, representations, warranties, closing conditions, and signature blocks into a single, reusable document. The template is designed for business-to-business transactions, adaptable to leases, purchase agreements, and assignment scenarios, and intended to reduce drafting time while preserving core legal elements that courts and regulators expect in U.S. commercial real estate arrangements.

Why Use a Standardized Business REA Template

Using the Business REA Template standardizes key terms, clarifies obligations, and reduces negotiation time while supporting consistent risk allocation. It helps ensure necessary disclosures and signature fields are present, making the document easier to validate for enforceability under ESIGN and state contract law.

Why Use a Standardized Business REA Template

Who Typically Prepares and Signs This Template

Organizations across real estate, finance, legal, and corporate development teams use Business REA Templates to standardize transactional paperwork and approvals.

  • Commercial landlords and brokers managing lease assignments and subleases for portfolios.
  • Corporate real estate teams handling property transfers between subsidiaries for tax and operational purposes.
  • Legal and finance departments preparing assignment, consideration, and closing terms.

Users range from small firms to national portfolios; template adaptability allows counsel to add state-specific clauses and industry-oriented exhibits before execution.

Essential Sections to Include in a Professional Template

Consideration

Transfer Mechanics

Specify effective date, conditions precedent, consents required, recording obligations, deed or assignment instruments, and responsibility for recording costs and transfer taxes.

Reps & Warranties

Include seller and buyer representations, authority to assign, absence of undisclosed encumbrances, compliance with laws, lien status, indemnities, and survival periods for claims.
