What the Business REAFF Document Is

The Business REAFF Document is a formal business reaffirmation affidavit used to confirm corporate facts, authority, account relationships, or prior filings on behalf of a business. It restates parties' identities, delegated authority, and factual assertions that recipients rely on for banking, vendor, regulatory, or tax purposes. The form can be issued as a standalone affidavit or as an exhibit to another filing. When executed electronically it must meet e‑signature legal tests such as the ESIGN Act (15 U.S.C. §7001) and applicable state UETA provisions to be enforceable.

Why Organizations Use a Business REAFF Document

Core Elements to Include for a Professional Submission

A professional Business REAFF Document combines identity verification, authority evidence, clear factual statements, exhibit attachments, execution blocks, and a governing law clause.

Identification

Clearly identify the business using exact legal name, EIN or state business ID, and principal address. Accurate identifiers prevent tax and vendor mismatches and support reliable cross-referencing of prior filings and records.

Authority

State who is authorized to sign and why. Attach board resolutions, minutes, or power of attorney documentation demonstrating delegated authority with dates and references to avoid future challenges to signatory power.

Statement of Facts

Present concise, dated factual assertions with references to original documents. Each statement should be verifiable, limited to relevant facts, and avoid legal conclusions that require separate counsel review.

Exhibits

Attach supporting documents labeled as exhibits and ensure each exhibit is cited in the document body. Use separate files for lengthy records and preserve exhibit order in the final signed package for clarity and enforceability.

Signature Block

Include printed name, title, corporate name, signature line, and date. Provide space for notarization and witness lines if required. For electronic signing preserve a timestamped audit trail and signer authentication evidence.

Governing Law

Specify the governing state law and venue for disputes. This clause influences interpretation, enforceability, and applicable notarization or witness rules; choose jurisdiction consistently across related filings.

Practical Tips to Reduce Errors and Delays

Adopt consistent preparation steps and verification checks so the Business REAFF Document is accepted by banks, vendors, and regulators without repeated follow ups.

Verify corporate records before drafting
Confirm current articles, bylaws, and minutes to ensure the signer has authority and the reaffirmation reflects accurate business structure. Discrepancies commonly cause rejections by counterparties.
Use clear factual language and dates
Avoid conclusions and ambiguous wording. State specific dates, amounts, and document titles and reference exhibits. Precise facts reduce review time for legal and finance teams.
Confirm state notary rules early
Determine whether notarization or witnesses are required in relevant jurisdictions and whether RON is accepted before routing for signatures to avoid re-execution.
Preserve an audit trail and backups
Retain signed PDFs, audit logs with timestamps and IP addresses, and secure backups. These records support enforceability and regulatory inspections.
