Confidential Information does not include information that is or becomes publicly known through no wrongful act of the receiving party, is independently developed without use of the disclosing party's Confidential Information, or is required to be disclosed by law or court order (provided the recipient gives prompt notice to allow the disclosing party a reasonable opportunity to seek protective relief).

GOVERNING LAW

This reaffirmation shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

ENTIRE AGREEMENT
