What the Business Reca Document Is and when it’s used

The Business Reca Document is a structured company record used to summarize, authorize, or memorialize a discrete business action such as a recapitalization, internal resolution, or administrative reconciliation. It records identifying details, the parties involved, effective dates, and authorizing signatures so corporate officers, partners, or authorized agents can rely on a single source of truth. Organizations use it for internal governance, vendor or counterparty confirmation, and to create a clear audit trail when decisions affect capital, ownership, or operational responsibilities.

Why a clear Business Reca Document matters

A concise, accurate Business Reca Document reduces ambiguity about who approved what, when obligations begin, and how responsibilities are allocated. It supports auditability, internal controls, and consistent recordkeeping under applicable federal and state rules such as ESIGN and, for intrastate transactions, UETA.

Why a clear Business Reca Document matters

Who prepares and who signs the Business Reca Document

Typical preparers and signers vary by organization size and purpose; the list below outlines common roles.

  • Corporate officers and board secretaries who draft or approve governance actions
  • Managing partners or authorized members for partnerships and LLCs
  • Finance or accounting staff for recapitalization entries and reconciliation approvals

Choose signatories with contractual authority and keep a copy in the official corporate records for governance and compliance.

Common signer profiles and responsibilities

Chief Financial Officer

Signs on behalf of the company for financial reconciliations, confirms funding sources, and verifies accounting entries. Often responsible for retention of the signed record.

Authorized Officer

An individual named in corporate bylaws or an operating agreement with authority to execute documents on the company’s behalf; confirms legal and operational commitments.

Recital of Facts
