RECITALS

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is marked confidential or would reasonably be understood to be confidential under the circumstances. Each recipient shall (i) use the Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to employees and contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (iii) protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except as to trade secrets where protection shall continue for so long as the information qualifies as a trade secret under applicable law. Nothing in this clause shall prevent disclosure required by law or court order, provided the disclosing party gives prompt notice and cooperates in seeking a protective order.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Venue for any action arising out of or relating to this Agreement shall be in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, including the receipt of payment set forth above and any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other, except that Provider may assign to a successor in interest in connection with a merger or sale of substantially all of Provider's business.
