RECITALS

WHEREAS, Client Name: (the "Client") desires to retain specialized receiver services for the administration, preservation, liquidation, or disposition of certain business assets and affairs; and

PAYMENT TERMS

Compensation for the Receiver's services shall be as set forth above and payable in accordance with the following terms. All amounts are stated in the currency indicated and exclude any taxes unless otherwise stated.

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of per month (or the maximum permitted by law) from the due date until paid. Client shall also reimburse Receiver for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This engagement shall commence on: and shall continue until: unless earlier terminated in accordance with this section.

Either party may terminate this engagement for convenience upon written notice to the other party provided at least days prior to the effective termination date. Termination for cause may occur immediately upon written notice if the other party materially breaches any obligation and fails to cure within a commercially reasonable period.

CONFIDENTIALITY

The parties acknowledge that in the course of performance, each may receive non-public, proprietary, or confidential information of the other. Each party shall hold such information in strict confidence, shall not disclose it to third parties except as required by law or court order, and shall use such information solely for the purposes of performing its obligations under this Quote. Confidentiality obligations shall survive termination of the engagement for a period of three (3) years, except with respect to trade secrets, which shall remain protected for as long as they qualify under applicable law.

GOVERNING LAW

This Quote and any ensuing engagement agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Any dispute arising out of or relating to this Quote shall be resolved as set forth in a subsequent engagement agreement or, absent agreement, in the courts of that state.

ENTIRE AGREEMENT

This Quote, together with any written acceptance executed by the Client and the Receiver, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and communications, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
