Confidential Information shall not be disclosed to any third party except to employees, advisors, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. Confidential Information does not include information that is or becomes publicly available through no breach of this Document, was known to the receiving party prior to disclosure, or is required to be disclosed by law; provided that the receiving party gives prompt written notice and cooperates with reasonable measures to limit disclosure.

The parties acknowledge that monetary damages may be insufficient remedy for a breach of confidentiality and that the non-breaching party shall be entitled to equitable relief in addition to any other remedy available at law or in equity.

The undersigned acknowledges and agrees to be bound by the confidentiality obligations set forth in this Document.

Representations and Warranties

Each party represents and warrants that it has the full corporate power and authority to enter into this Document, that the execution and performance hereof will not violate other agreements, and that the person signing below is duly authorized to bind the party he or she represents.
