Recitals

WHEREAS, Recommender is engaged in the business of providing professional evaluations, client referrals, and business development services and possesses experience and qualifications relevant to the Recipient's industry and proposed engagement; and

WHEREAS, Recipient has requested, and Recommender has agreed to provide, a formal written recommendation and related advisory services subject to the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Recommender will prepare and deliver a written business recommendation and may provide ancillary advisory services as set forth below. The recommendation will be based on information provided by Recipient and on Recommender's independent assessment.

Payment Terms

Recipient shall pay Recommender compensation for the services described above under the following terms.

Invoices are due and payable within days of invoice date. Late payments shall accrue interest at the rate of % per month (or the maximum permitted by law), plus a one-time administrative late fee of for any invoice unpaid after the due period.

Term and Termination

This Agreement commences on the Effective Date and continues until completion of the Scope of Work unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for cause upon material breach by the other party that remains uncured after days' written notice.

Upon termination, Recipient shall pay Recommender for all services rendered and reasonable expenses incurred through the effective date of termination. Sections concerning confidentiality, governing law, indemnity, and payment shall survive termination.

Confidentiality

Each party acknowledges that in connection with the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form and identified as confidential or that a reasonable person would understand to be confidential given its nature and circumstances of disclosure.

Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted herein; and (c) use it solely to perform its obligations under this Agreement. The obligations in this section shall remain in effect for years following termination or expiration of this Agreement, except for trade secrets which shall remain protected for as long as they qualify under applicable law.

Representations; Conflicts

Each party represents and warrants that it has the authority to enter into this Agreement and that there are no conflicts that would prevent performance. Recommender further represents that the recommendation is based on its professional judgment and available information; Recommender does not guarantee any particular result or third-party acceptance of the recommendation.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Indemnity

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct, except to the extent caused by the indemnified party's own negligence or willful misconduct.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

The following is the substantive recommendation prepared by Recommender and represents the professional evaluation and endorsement intended for use by Recipient and its authorized representatives.

Additional Provisions

Independent Contractor Status: Recommender shall perform services as an independent contractor and not as an employee, agent, or partner of Recipient. Recommender is solely responsible for its taxes, withholdings and other statutory obligations.

Notices: All notices required or permitted hereunder shall be in writing and deemed given when delivered personally or sent by certified mail, return receipt requested, to the addresses set forth in this Agreement or to such other address as a party may designate in writing.
