WHEREAS

WHEREAS, Client operates a business and seeks formal, actionable recommendations to improve operations, market positioning, or financial performance; and

WHEREAS, Consultant has expertise in business analysis, market assessment, and implementation planning and is willing to provide such recommendations under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth in writing the scope, compensation, confidentiality obligations and other terms applicable to the Consultant's provision of recommendations to the Client.

SCOPE OF WORK

Consultant will prepare and deliver written and, where agreed, oral recommendations addressing the areas set forth below. Recommendations will be based on information provided by Client and Consultant's independent analysis. Consultant is not responsible for outcomes arising from Client's implementation decisions.

PAYMENT TERMS

Client shall pay Consultant for the services and deliverables described above in accordance with the following terms. All fees are exclusive of applicable taxes unless otherwise stated, and Client shall be responsible for such taxes.

Invoices are payable within the period specified in the payment schedule. Unpaid amounts shall bear interest at the rate set forth above or, if none is set, at one and one-half percent (1.5%) per month, or the maximum rate permitted by law, until paid. Client shall reimburse Consultant for reasonable costs of collection, including attorneys' fees, if collection is necessary.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above after receipt of written notice. Termination shall not relieve Client of the obligation to pay for services performed and reasonable expenses incurred prior to termination, nor for deliverables accepted by Client prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other, whether disclosed orally, in writing or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial information, trade secrets, customer lists, and technical information.

Each party shall (i) hold the other party's Confidential Information in strict confidence, (ii) not disclose such Confidential Information to any third party except as expressly permitted in this Agreement, and (iii) use the Confidential Information solely to perform its obligations under this Agreement. The receiving party's obligations do not extend to information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to receipt from the disclosing party; (c) is rightfully received by the receiving party from a third party without restriction on disclosure; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to choice-of-law principles that would apply the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by duly authorized representatives of both parties.

The parties acknowledge that Consultant's recommendations are advisory in nature. Client retains exclusive responsibility for business decisions and implementation. Consultant makes no guarantee as to results, and Client agrees that Consultant's liability for any claim arising out of this Agreement shall be limited to the fees actually paid to Consultant for the related services, except in cases of willful misconduct or gross negligence.
