This General Business Records Agreement (the Agreement) is entered into as of by and between Company Name: and Record Holder Name: .

Recitals

WHEREAS, Company requires the creation, maintenance and controlled retention of business records, including but not limited to financial records, contracts, personnel files, and operational documents, in accordance with this Agreement and applicable law;

WHEREAS, Record Holder is willing and able to prepare, store, maintain and, where required, deliver such records under the terms set forth below and in accordance with the retention schedule and access controls established in this template;

WHEREAS, the parties desire to set forth their mutual responsibilities for payment, confidentiality, record preservation, access and lawful destruction of records.

Scope of Work

Record Holder shall perform the services described below, including creation, classification, indexing, secure storage, retrieval and disposition of business records as specified by Company and as required by applicable law.

Payment Terms

Company shall pay Record Holder for services as follows. Invoices shall state the work performed and supporting record references. Payments shall be made in accordance with the schedule below and are subject to the late fee provisions stated in this Agreement.

Payment Due: invoices are due within days of receipt. Past due amounts shall accrue interest at the rate of % per month or the maximum permitted by law, whichever is lower. Company shall reimburse Record Holder for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated under the terms below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured after days' written notice. Termination shall not relieve Company of obligations to pay for services already performed or for records delivered prior to termination.

Confidentiality

Record Holder acknowledges that records maintained under this Agreement may contain Confidential Information. Record Holder shall hold such information in strict confidence, shall limit access to authorized personnel, and shall not disclose such information except as required by law or with Company’s prior written consent.

Record Holder acknowledges and accepts the confidentiality obligations set forth above.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including the retention schedules, access procedures and attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
