BUSINESS RECOVERY NODE TEMPLATE

This Business Recovery Node Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client requires a resilient off-site recovery node (the Recovery Node) to support business continuity, data replication, and rapid failover in the event of an outage or incident; and

WHEREAS, Service Provider has the technical capacity, facilities, and personnel to host, operate, monitor, and maintain such a Recovery Node under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, service levels, payment terms, confidentiality obligations, and other material terms governing the Recovery Node implementation and operation.

Scope of Work

Service Provider shall provide the services described below and in any attached schedules. The Scope of Work includes design, provisioning, configuration, monitoring, failover testing, and ongoing maintenance of the Recovery Node. Key deliverables, retention policies, and access arrangements shall be as described in the field below.

Service Levels and Node Specifications

Service Provider shall maintain the Recovery Node consistent with the following minimum specifications and service levels, which form part of this Agreement. Downtime shall be measured in accordance with the monitoring metrics agreed between the parties.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for provision, operation, and maintenance of the Recovery Node. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

If Client fails to pay any undisputed amount when due, Service Provider may charge interest on the overdue amount at and/or a minimum late fee of .

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of thirty (30) days following delivery of written notice specifying the breach. Service Provider may also suspend services immediately where Client's actions threaten the integrity or security of the Recovery Node, subject to prompt notice.

Confidentiality

Each party (Receiving Party) shall keep confidential all non-public information disclosed by the other party (Disclosing Party) that is designated confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure (Confidential Information). Confidential Information shall not include information that: (a) is or becomes generally available to the public other than by a breach of the Receiving Party; (b) was in the Receiving Party's possession prior to receipt from the Disclosing Party; or (c) is rightfully obtained by the Receiving Party from a third party without restriction.

The Receiving Party shall protect Confidential Information with the same degree of care it uses to protect its own confidential information, but not less than reasonable care, and shall not use or disclose Confidential Information except to perform obligations under this Agreement or as required by law (provided that the Receiving Party gives prompt notice to the Disclosing Party where lawful to do so).

Liability and Insurance

Each party's liability arising out of or relating to this Agreement shall be limited to direct damages resulting from its breach and shall not exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim, except in cases of gross negligence, willful misconduct, or breach of confidentiality where higher liability may apply. Service Provider shall maintain commercial general liability and professional liability insurance in amounts customary for the industry.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to that jurisdiction's conflict of law rules.

Entire Agreement and Amendments

This Agreement, including all attachments and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment is prohibited without the prior written consent of the non-assigning party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. If any provision is held invalid, the remaining provisions shall continue in full force and effect. Notices shall be in writing and delivered to the addresses set forth above or such other address as a party designates in writing.

Acceptance

The parties acknowledge that they have read and understand this Agreement, and agree to be bound by its terms as of the Effective Date stated above.
