WHEREAS, the parties agree the terms set forth in this Proposal will govern the performance of services and payment for the engagement effective as of the Proposal Date.

Invoices are due within days of invoice date. Late payments shall incur a fee of % per month on the outstanding balance, or the maximum allowable by law, whichever is lower.

Reimbursable expenses (travel, third-party licenses, production costs) are billed at cost and require prior written approval by the Client. Reimbursable expenses are capped at $ unless otherwise agreed in writing.

Either party may terminate this Proposal for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure the breach within days after written notice specifying the breach.

Upon termination, Client will pay Consultant for all services performed and expenses incurred through the termination date, as well as reasonable transition costs incurred to deliver completed work and documentation.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes publicly known through no fault of the receiving party, is lawfully received from a third party without restriction, or is independently developed by the receiving party without use of the disclosing party's confidential information.

The obligations of confidentiality shall continue for a period of years following termination or expiration of this Proposal, except with respect to trade secrets, which shall be protected for so long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Consultant shall retain ownership of pre-existing materials, methodologies, templates and tools. Upon full payment of all amounts due, Consultant grants Client a perpetual, non-exclusive, worldwide license to use the final deliverables specifically produced for Client under this Proposal. The license does not extend to Consultant's underlying source code, proprietary systems, or third-party licensed components unless expressly transferred in writing.

Any transfer of copyright or assignment of intellectual property rights shall be effective only through a separate written agreement signed by both parties.

LIMITATION OF LIABILITY & WARRANTIES

Consultant warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS PROPOSAL, CONSULTANT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS PROPOSAL EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO CONSULTANT UNDER THIS PROPOSAL IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THIS LIMITATION SHALL NOT APPLY TO LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree that disputes shall be resolved in the state or federal courts located in that state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT

This Proposal, including any attachments and accepted orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification to this Proposal must be made in writing and signed by an authorized representative of each party.

CHANGES & CHANGE ORDERS

Changes to the Scope of Work shall be documented in a written change order describing the change, the impact on schedule and fees, and signed by authorized representatives of both parties prior to performance.

ACCEPTANCE

By signing below, Client and Consultant acknowledge and agree that this Proposal accurately reflects the services to be provided, the fees, and the terms governing the engagement. Execution of this Proposal by both parties constitutes a binding agreement.
