What the Business Redraw Document Is

A Business Redraw Document is a formal written amendment used to request, record, and authorize a change to an existing business arrangement—commonly adjustments to funding allocations, loan redraws, project scope, or contract deliverables. It captures the parties, the precise change being made, effective dates, and any consideration or repayment terms. The document creates an auditable record of consent and can be executed on paper or electronically where permitted under federal and state e-signature laws, ensuring clarity and enforceability for internal and external stakeholders.

Why a Clear Redraw Document Matters

A clear Business Redraw Document reduces disputes by recording who agreed to what, when, and under which terms. When executed electronically it meets ESIGN (15 U.S.C. ch. 96) and state UETA standards where applicable, preserving legal enforceability while speeding execution.

Why a Clear Redraw Document Matters

Who Typically Prepares and Signs This Document

Final signers typically include an authorized company officer and any counterparty signatory; internal approvers vary by corporate policy and transaction value.

  • Finance and treasury teams: Prepare redraw requests that affect cash allocations or loan facilities; require accurate amounts and approval paths.
  • Legal and contracts teams: Review terms, confirm authority to amend, and ensure governing law and liability language are correct.
  • Project managers and operations: Provide scope details, schedules, and supporting exhibits that justify the redraw or amendment.

Roles and Responsibilities

Chief Financial Officer

The CFO or delegated finance director authorizes redraws that change cash flow or loan balances, confirms available funds, and approves repayment or reallocation terms to ensure accounting accuracy and regulatory compliance.

General Counsel

The General Counsel or external counsel reviews legal language, verifies signatory authority, ensures the amendment does not conflict with existing covenants, and advises on enforceability under applicable state law.
