BUSINESS REFERENCE DOCUMENT

This Business Reference Document (the Agreement) is entered into on between:

WHEREAS

WHEREAS, Company requires a formal written reference concerning Company's creditworthiness, performance history, and general business reputation, and Reference Provider possesses direct knowledge of Company’s business dealings and performance; and

WHEREAS, Reference Provider is willing to provide such reference and any related information on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality obligations and governing law applicable to the reference to avoid future dispute.

SCOPE OF WORK

PAYMENT TERMS

In consideration for the reference services described above, Company shall pay Reference Provider the fees set forth below.

TERM AND TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party (Receiving Party) acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party (Disclosing Party). Confidential Information includes, without limitation, non-public business information, financial data, customer lists, trade secrets, correspondence, and any other information identified as confidential or that a reasonable person would understand to be confidential.

The Receiving Party shall: (a) use Confidential Information solely for purposes of performing obligations under this Agreement; (b) restrict disclosure to its employees, advisors or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to prevent unauthorized disclosure. Confidential Information shall not include information that: (i) was already known to the Receiving Party without restriction; (ii) becomes publicly available through no wrongful act of the Receiving Party; (iii) is received from a third party without breach of obligation; or (iv) is independently developed by the Receiving Party.

ADDITIONAL TERMS

Relationship of Parties: The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between the parties.

Indemnification: Each party shall indemnify and hold harmless the other from and against any claims, losses or liabilities arising from the indemnifying party’s negligence, willful misconduct, or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, and communications. Any amendments must be in writing and signed by authorized representatives of both parties.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement and that execution and delivery of this Agreement by such party and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action.
