WHEREAS, Reference Business has engaged in prior commercial dealings with the Subject of Reference and is willing to provide such a reference in accordance with the terms and limitations set forth in this Request and the accompanying agreement between the parties.

PAYMENT TERMS

If compensation is offered for the time or resources expended in preparing the reference, such compensation shall be governed by the terms set forth below. Absent an express fee set forth here, no payment is implied or required.

TERM AND TERMINATION

This Request and any agreement to provide a reference pursuant to it shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Request upon written notice to the other in accordance with the notice period set forth above. Termination shall not relieve either party of obligations incurred prior to the effective date of termination.

CONFIDENTIALITY

The parties acknowledge that the provision of a reference may involve the disclosure of Confidential Information. Reference Business shall treat such information as confidential and shall not disclose proprietary business details beyond the scope of the requested reference except as required by law. Confidential Information does not include information that is or becomes publicly known other than by breach of this agreement or information independently developed without use of the other party's confidential information.

REPRESENTATIONS, LIMITATIONS, AND LIABILITY

Reference Business represents that any statements made in the reference will be true to the best of its knowledge and based on its records. Reference Business does not warrant the future performance of the Subject of Reference. Neither party shall be liable for indirect, incidental, special, or consequential damages arising from reliance on the reference, and the maximum aggregate liability shall be limited to the fees actually paid under this Request, if any.

GOVERNING LAW

This Request and any dispute arising out of or relating to the reference shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Request, together with any attachments and mutually executed written amendments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, understandings, and communications relating thereto.
