This Business Reference Agreement (the "Agreement") is entered into by and between:

WHEREAS

WHEREAS, Provider maintains experience and capability to prepare and furnish business references, summaries of commercial performance, introductions to third parties, and related documentation (the "Reference Services"); and

WHEREAS, Recipient desires to obtain from Provider a business reference and related services for the purposes described in this Agreement, and Provider is willing to provide such Reference Services subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Specific deliverables may include but are not limited to: written reference letters, telephone introductions, verified performance summaries, and contact verification. Provider shall perform the Reference Services in a commercially reasonable manner and in compliance with applicable laws.

PAYMENT TERMS

Unless otherwise agreed in writing, Recipient shall pay Provider the Total Fee in accordance with the Payment Schedule. Overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

TERM AND TERMINATION

Either party may terminate this Agreement for cause upon written notice to the other party if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of written notice.

In addition, either party may terminate this Agreement without cause upon days' prior written notice. Termination does not relieve Recipient of the obligation to pay for Reference Services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, including client lists, financial data, performance metrics, and proprietary methodologies. Each party agrees to hold Confidential Information in strict confidence, to use it only for purposes of performing this Agreement, and not to disclose it to third parties except as required by law or with the disclosing party's prior written consent.

Confidentiality Duration (in years):

Notwithstanding the foregoing, Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was rightfully in the receiving party's possession prior to disclosure, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and perform its obligations hereunder, and that the execution and performance of this Agreement will not violate any agreement, law, or regulation applicable to it.

LIMITATION OF LIABILITY

PROVIDER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE REFERENCE SERVICES, INCLUDING LOST PROFITS OR LOSS OF BUSINESS. PROVIDER'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY RECIPIENT TO PROVIDER UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices under this Agreement shall be in writing and delivered to the addresses provided by the parties. The headings in this Agreement are for convenience only and shall not affect interpretation.
