BUSINESS REFERRAL LETTER

RECITALS

WHEREAS, Referrer: is in the business of identifying and introducing prospective clients and customers for services or products; and

WHEREAS, Referee: provides goods and/or services for which Referrer may identify potential clients; and

WHEREAS, the parties desire to set forth the terms under which referrals will be made and compensated, and their respective obligations with respect to confidential information and governing law.

PARTIES AND CONTACT INFORMATION

SCOPE OF REFERRAL SERVICES

Referrer will identify prospective clients and make introductions to Referee. Referrer will not bind Referee to any agreement on behalf of Referee but will provide initial client contact information and context regarding the prospective client's needs.

REFERRAL PROCESS

A referral is effective for payment only when the prospective client engages Referee for services or purchases and has been introduced by Referrer in writing prior to the execution of any agreement between Referee and the prospective client.

PAYMENT TERMS

Referee agrees to compensate Referrer as follows for each qualifying referral that results in a sale or engagement.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by delivering written notice to the other party at least days prior to the effective termination date. Termination does not relieve Referee of payment obligations for qualifying referrals made prior to termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive or become aware of confidential and proprietary information of the other party ("Confidential Information"). Each party agrees to use Confidential Information solely for the purposes of performing under this Agreement and to protect it with the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was in the receiving party's possession prior to receipt from the disclosing party; (c) is rightfully received from a third party without duty of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to attempt to resolve disputes in good faith prior to initiating litigation.

ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the parties: The parties are independent contractors and nothing in this Agreement creates an employment, partnership, agency or joint venture relationship. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all of its assets.
