RECITALS

WHEREAS, the Business operates commercial activities and desires to designate certain geographic regions for the provision, distribution or sale of its products or services; and

WHEREAS, the Partner has the capability, personnel and resources to perform obligations and deliver reports in the designated business region(s) on the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope of work, compensation, reporting obligations and the respective rights and remedies relating to the designated business region(s).

SCOPE OF WORK

The description below shall be interpreted to include all reasonably necessary activities to accomplish the stated objectives, including but not limited to local marketing, customer introductions, order facilitation, and routine reporting.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach shall be effective immediately if the breaching party fails to cure within days after receipt of written notice.

CONFIDENTIALITY

The parties acknowledge that each may disclose Confidential Information to the other in connection with the performance of this Agreement. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except as expressly permitted herein, and (c) use it only for purposes of performing obligations under this Agreement.

The obligations in this clause shall survive termination or expiration of this Agreement for a period of months, except with respect to trade secrets, for which protection shall continue for as long as the information qualifies as a trade secret under applicable law.

REPORTING AND COMPLIANCE

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that the Business may assign to an affiliate or in connection with a sale of substantially all of its assets.

Notices: Notices under this Agreement shall be in writing and delivered to the addresses set forth above, or such other addresses as the parties may provide in writing, and shall be deemed given upon personal delivery, nationally recognized overnight courier, or three (3) days after deposit in the United States mail, postage prepaid.
