BUSINESS REGISTRATION AGREEMENT

WHEREAS

WHEREAS, Registrant Name: desires to form, register or otherwise effect the lawful organization or registration of the Business Name: in accordance with applicable law; and

WHEREAS, Service Provider Name: has expertise and will perform services to prepare, file and prosecute the registration and related filings on behalf of Registrant under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth in this Agreement, the parties agree as follows.

Payment Terms

Fees for the services described in this Agreement shall be as follows.

Registrant shall be responsible for all filing fees and government charges incurred in the registration process unless otherwise specified. If Service Provider pays such fees on behalf of Registrant, Registrant shall reimburse Service Provider within days of invoicing.

Any undisputed amount not paid when due shall accrue interest at a rate of per month (or the maximum permitted by law), plus reasonable collection costs.

Term and Termination

This Agreement shall commence on Effective Date: and shall continue until the completion of the services described in the Scope of Work or until terminated earlier as provided herein.

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice. Either party may also terminate for convenience upon days' advance written notice; provided, however, that Registrant shall remain liable for fees earned and expenses incurred prior to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, financial, operational, and proprietary information disclosed in any form. Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) was in the Receiving Party's possession prior to receipt; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination or upon written request, the Receiving Party shall return or destroy Confidential Information and certify such return or destruction.

Representations, Warranties and Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement. Registrant represents that the information provided for registration is accurate and complete, and will indemnify and hold Service Provider harmless from any liabilities, costs or expenses arising from Registrant's inaccurate or incomplete information or Registrant's failure to comply with applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, representations, and agreements, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Notices

Notices under this Agreement shall be given in writing and delivered to the parties at the addresses set forth below or such other address as a party may designate in writing.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in interest.
