CONFIDENTIALITY

The receiving party shall (a) use Confidential Information only for purposes of registering and administering the business registration; (b) restrict access to Confidential Information to those of its employees, agents, or contractors with a need to know; and (c) not disclose Confidential Information to any third party except as required by law or as necessary to fulfill the purposes of this registration, provided that the receiving party uses commercially reasonable efforts to provide prior written notice to the disclosing party and to obtain confidential treatment where available.

The obligations under this confidentiality paragraph survive expiration or termination of this document for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

This document shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.
