Parties and Recitals

This Agreement is entered into between Registrant Name: (hereinafter "Registrant") and Registry Administrator: (hereinafter "Administrator").

WHEREAS, Registrant seeks a formal recordation and maintenance of specified business information for operational clarity, identity verification, and limited public registry purposes; and

WHEREAS, Administrator maintains and operates the Business Registry for Clarity and agrees to receive, store, update and make available registry entries under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective duties and payment obligations with respect to the registry entry and associated services.

Scope of Work

Administrator shall perform the following services in good faith and with reasonable professional care. The parties acknowledge these services constitute the core obligations under this Agreement:

Registrant authorizes Administrator to publish the registry entry fields provided by Registrant and to accept updates submitted by the Registrant in accordance with the update procedures set out below.

Payment Terms

Payment Amount: $ payable as set forth below.

Late Fee: Registrant agrees that any invoice not paid within days of the invoice date will incur interest at a rate of % per month or the maximum permitted by applicable law, whichever is lower.

All payments shall be made without setoff. Registrant shall be responsible for any collection costs, reasonable attorney fees, and expenses incurred by Administrator in enforcing payment obligations.

Either party may terminate this Agreement without cause by providing the other party with written notice at least days prior to the intended termination date. Administrator may terminate immediately upon written notice if Registrant materially breaches any provision of this Agreement and fails to cure such breach within 15 days of receipt of notice.

Upon termination, Administrator shall cease publication of the registry entry within a commercially reasonable time and shall provide Registrant a final statement of any unpaid amounts. Termination does not relieve Registrant of any payment obligations accrued prior to termination.

Confidentiality

Each party shall hold confidential all non-public business, technical, financial and personal information disclosed by the other party in connection with this Agreement ("Confidential Information"), and shall not disclose such information except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed by the receiving party, or rightfully obtained by the receiving party from a third party without breach of any confidentiality obligation.

The receiving party shall use Confidential Information solely for performance under this Agreement. The parties acknowledge that monetary damages may be an insufficient remedy for breach of this Section and that injunctive relief may be appropriate in addition to other remedies at law or in equity.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration unless otherwise required by mandatory law; however, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Each party represents and warrants that it has full power and authority to enter into and perform this Agreement and that the person executing this Agreement on its behalf is duly authorized to bind the party.

This Agreement, together with any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, agreements, representations and understandings. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
