Payment Terms

All payments are due in accordance with the Payment Schedule. Late payments shall accrue interest at the rate specified above and the Company shall be responsible for reasonable collection costs, including attorneys' fees, if required to enforce payment.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Section, shall continue until .

Either Party may terminate this Agreement for convenience upon written notice delivered days prior to the effective termination date. Either Party may terminate immediately for cause upon written notice if the other Party materially breaches a duty under this Agreement and fails to cure the breach within thirty (30) days following receipt of notice specifying the breach.

Confidentiality

Each Party shall maintain the confidentiality of Confidential Information disclosed by the other Party and shall not disclose such information to third parties except as permitted by this Agreement. "Confidential Information" includes nonpublic technical, business, financial or operational information, but excludes information that: (a) is or becomes public through no fault of the receiving Party; (b) was lawfully in the receiving Party's possession prior to disclosure; or (c) is required to be disclosed by law, rule, or order of a court or governmental authority, provided the disclosing Party gives prompt notice to the other Party to allow a protective order or other remedy.

Compliance with Laws; Audits

The Company shall at all times conduct its business in compliance with applicable laws, regulations, and industry standards. The Regulatory Party may conduct or require audits, inspections, or reports reasonably necessary to verify compliance; such audits shall be scheduled with reasonable notice and conducted during normal business hours unless there is a reasonable basis for immediate inspection.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand delivery, nationally recognized overnight courier, or registered mail, return receipt requested.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall lie exclusively in the courts located within that jurisdiction.

Amendment; Severability; Entire Agreement

This Agreement may be amended or modified only by a written instrument signed by authorized representatives of both Parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior negotiations, understandings and agreements.

Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
