This Business Reinstatement Addendum (the "Addendum") is made and entered into effective as of , by and between Company Name: and Agent Name: .

WHEREAS

WHEREAS, Company Name is a business entity that was formed under the laws of and has experienced administrative forfeiture, suspension, dissolution, or other status preventing good standing; and

WHEREAS, Agent Name has agreed to undertake specified actions to effectuate reinstatement of Company Name's good standing in accordance with applicable statutory and administrative requirements, subject to the terms and conditions set forth herein.

SCOPE OF REINSTATEMENT SERVICES

Agent shall perform the following reinstatement services on behalf of Company (collectively, the "Services"). Agent will prepare, file and prosecute necessary documents, obtain certificates of reinstatement, and take reasonable incidental actions required to restore Company to active status as appropriate to the jurisdiction identified above. Agent will not provide legal advice unless it is separately engaged as counsel.

PAYMENT TERMS

Company agrees to pay Agent for Services in accordance with the schedule and amounts below. All fees are exclusive of government filing fees and taxes unless expressly stated.

If any undisputed invoice is not paid within days of the invoice due date, a late fee of per month or the maximum lawful rate shall accrue on the outstanding amount until paid.

Company shall be responsible for all government filing fees, taxes, penalties, and any third-party costs incurred in connection with reinstatement unless Agent expressly agrees in writing to advance such amounts. If Agent advances fees, Company will promptly reimburse Agent upon demand.

TERM AND TERMINATION

This Addendum commences on the Start Date and continues until the earlier of completion of the Services or the Termination Date, unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for material breach by the other party if such breach is not cured within the notice period specified above after written notice. Termination shall not relieve Company of its obligation to pay for Services performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information received from the other party that is identified as confidential or that a reasonable person would consider confidential under the circumstances ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly known through no breach of this Addendum, is already known by the receiving party without obligation of confidentiality, or is independently developed.

The receiving party will use Confidential Information solely for the purposes of performing or receiving the Services and will limit disclosure to employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those set forth herein.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Addendum, together with any written agreement to which it is attached, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
