What the Business Relationship Sister Company document is

A Business Relationship Sister Company document records the contractual relationship, responsibilities, and financial or operational arrangements between related corporate entities that share common ownership or control. It clarifies authority, cost allocation, service levels, and indemnities to reduce ambiguity and support compliance, audits, and tax reporting. The form is commonly used for shared services, intercompany loans, management fees, licensing of intellectual property, and allocation of overhead across affiliated companies.

Why you should formalize sister company relationships

Documenting a sister company relationship reduces dispute risk, establishes transfer pricing and governance, and creates an auditable record. Electronic execution is valid under the ESIGN Act (15 U.S.C. ch. 96, 2000) and UETA (1999) when intent, consent, attribution, and retention requirements are met.

Why you should formalize sister company relationships

Who typically completes this agreement and why

This document is most often prepared by in-house counsel or finance teams to set corporate controls between related entities.

  • Corporate Counsel: Drafts clauses on authority, indemnity, and governing law to reduce litigation exposure.
  • Finance and Tax Teams: Define pricing, allocation methods, and documentation needed for IRS and transfer pricing reviews.
  • Operations and Procurement: Specify service levels, payment terms, and invoicing procedures for intercompany services.

Responsibility for review and signature typically rests with authorized officers or delegated managers listed in company bylaws or corporate resolutions.

Essential components to include in a professional document

Include clear, precise clauses so the agreement can be relied upon by auditors, tax authorities, and internal teams.

Common preparation errors to avoid

  • Using informal or abbreviated entity names can lead to mismatches in corporate filings and tax reporting and may trigger IRS inquiries.
  • Failing to document pricing methodology or comparables increases transfer pricing risk and may result in disallowed deductions or intercompany tax adjustments.
  • Omitting corporate authorization or required board resolutions can render the agreement unenforceable or expose officers to personal liability claims.
  • Neglecting cross-border data protections and sector-specific clauses, for example HIPAA in healthcare, can create regulatory compliance gaps and fines.

Potential consequences of incorrect or missing documentation

Contract Dispute: Risk of litigation or arbitration
Tax Adjustment: IRS transfer pricing adjustments possible
Backup Withholding: Triggered by incorrect TIN entries
Invalid Execution: Signatures failing legal requirements
Regulatory Penalty: HIPAA or sector fines where applicable
Operational Delay: Suspended intercompany services or payments
