BUSINESS RELATIVE DOCUMENT

This Business Relative Document (the "Agreement") is made effective as of by and between:

WHEREAS

WHEREAS, Party A is engaged in the business of providing certain commercial services and possesses expertise, resources, and personnel necessary to perform such services; and

WHEREAS, Party B desires to engage Party A to perform specified services on the terms and conditions set forth in this Agreement and Party A agrees to perform such services for Party B; and

WHEREAS, the parties intend that this Agreement memorialize their respective rights and obligations with respect to the services, payment, confidentiality, term, and other matters as set forth below.

SCOPE OF WORK

Party A shall perform the services described below in a professional manner consistent with industry standards. The services, deliverables, milestones, and acceptance criteria shall be as set forth in the Scope of Work field.

PAYMENT TERMS

In consideration for the services performed by Party A, Party B shall pay Party A in accordance with the terms below. Unless otherwise agreed in writing, payments are non-refundable.

All amounts payable under this Agreement are exclusive of taxes. Each party is responsible for its own taxes and withholdings unless otherwise required by applicable law. Party A shall timely submit invoices in the form and frequency set forth above; Party B shall pay undisputed amounts within the agreed payment due period.

TERM AND TERMINATION

This Agreement shall commence on the start date and shall continue until the end date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination for convenience is permitted only if expressly agreed in writing.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) disclose Confidential Information only to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of this Agreement by the receiving party; (ii) was known to the receiving party prior to disclosure as evidenced by written records; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information. Upon termination or expiration of this Agreement, each receiving party shall return or destroy the other party's Confidential Information, except that one copy may be retained for archival or compliance purposes.

The obligations under this Confidentiality section shall survive termination or expiration of this Agreement for the period specified above and to the extent necessary to protect trade secrets in perpetuity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts of that state, subject to mandatory jurisdictional requirements.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address designated by a party in writing).

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an employment, partnership, joint venture or agency relationship. No waiver of any breach shall constitute a waiver of any other breach.
