BUSINESS RELEASE LETTER

This Business Release Letter (the "Letter") is entered into as of , (the "Effective Date"), by and between:

6. Representations and Warranties; No Admission

Each party represents and warrants that it has full authority to enter into this Letter and that its signatory has been duly authorized. This Letter is a compromise of disputed claims and shall not be construed as an admission of liability by any party.

7. Indemnification

Each party agrees to indemnify and hold harmless the other from and against any losses, claims, damages or liabilities (including reasonable attorneys' fees) arising out of any breach of such party's representations, warranties, or obligations under this Letter.
