BUSINESS RELEASE AGREEMENT

This Business Release Agreement (the Agreement) is entered into as of (Effective Date) by and between:

RECITALS

WHEREAS, Releasor alleges certain claims, demands, or causes of action against Releasee arising out of or related to certain business dealings, services, transactions, or communications occurring on or before the Effective Date; and

WHEREAS, Releasee contests liability but, in order to avoid the expense, uncertainty and distraction of further dispute, the parties desire to fully and finally resolve, settle and release all such claims, subject to the terms and conditions set forth in this Agreement; and

WHEREAS, as consideration for the Release and other promises herein, Releasee will provide the consideration set forth below and the parties will perform certain obligations described in this Agreement.

SCOPE OF WORK

The parties agree that the following scope of work, actions, or deliverables describe the obligations of Releasee (if any) and the activities upon which this Release is conditioned:

PAYMENT TERMS

As consideration for the release of claims described herein, Releasee shall pay Releasor the sum of (Payment Amount), subject to the schedule and conditions below.

If any payment is not received by its due date, a late fee equal to shall accrue on the overdue amount until paid in full. Payment shall be applied first to fees and costs, then to interest, then to principal.

RELEASE AND COVENANTS

Upon receipt of the Payment Amount in accordance with the Payment Terms, Releasor, on behalf of itself and its agents, employees, officers, directors, affiliates, successors and assigns, hereby irrevocably releases, acquits and forever discharges Releasee and its agents, employees, officers, directors, affiliates, successors and assigns from any and all claims, demands, liabilities, causes of action, obligations, damages, losses and expenses of any nature, whether known or unknown, suspected or unsuspected, that relate to or arise out of the matters described in the Recitals through the Effective Date.

Releasor affirms that this release is intended to be a full and final settlement of all matters released herein and that Releasor knowingly and voluntarily waives any rights to further recovery related to such matters.

CONFIDENTIALITY

The parties agree that the terms and existence of this Agreement, including the Payment Amount and any related negotiations, shall be confidential and shall not be disclosed to any third party except: (a) as required by law or court order; (b) to tax or legal advisors bound by confidentiality obligations; or (c) to the extent necessary to enforce the terms of this Agreement. Confidentiality obligations shall survive termination of this Agreement for .

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall terminate on the End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Termination shall not affect obligations accrued prior to termination, including confidentiality, release and indemnification provisions.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement or its gross negligence or willful misconduct.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Agreement; that the person signing on its behalf is duly authorized; and that the execution and performance of this Agreement do not violate any contract, law or obligation to any third party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified as: , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, oral or written. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to obtain independent legal advice prior to executing this Agreement.
