Parties and Recitals

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for the notice period set forth above. Termination does not relieve either party of obligations accrued prior to termination or obligations that by their nature survive termination, including but not limited to payment of undisputed amounts and the release and license provisions that are expressly stated to survive.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, technical, or other proprietary information disclosed in any form. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except as necessary to perform this Agreement or as required by law; and (c) use Confidential Information only for purposes of performing under this Agreement.

Representations, Warranties and Indemnity

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations. Releasor represents that Releasor has the right to grant the releases and licenses granted herein and that, to Releasor's knowledge, the materials do not infringe third-party intellectual property rights. Releasor shall indemnify and hold harmless Releasee from and against any third-party claims arising from a breach of the foregoing representation, except to the extent such claim arises from Releasee's use outside the scope of this Agreement.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes.

Entire Agreement

This Agreement, including any exhibits, schedules, and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether oral or written.

General Provisions

No amendment to this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
