Each Party shall treat all non-public information disclosed in connection with this Agreement as Confidential Information and shall not disclose it except to its employees, agents, or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those in this Agreement.

Confidential Information does not include information that is independently developed by the receiving Party without use of the disclosing Party's Confidential Information, becomes generally available to the public other than by breach of this Agreement, or is required to be disclosed by law or regulation (in which case the receiving Party will provide prompt notice to allow the disclosing Party to seek protective relief).

Limitation of Liability; Indemnification

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither Party shall be liable for consequential, incidental, or punitive damages. The Responding Party agrees to indemnify and hold harmless the Requesting Party from third-party claims arising from the Responding Party's breach of representations or failure to maintain reliability obligations required under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state named below, without regard to conflicts of law principles.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both Parties.

What the Business Reliability Document is and when it’s used

The Business Reliability Document records an organization’s operational commitments, reliability metrics, contingency plans, and points of contact for a specified service, product line, or vendor relationship. It is used to demonstrate continuity planning, uptime and recovery objectives, testing schedules, and escalation procedures. The form is commonly requested during procurement, vendor onboarding, audits, and contract renewals to validate that a business meets agreed reliability standards and to provide an auditable trail of commitments and responsibilities.

Why a clear Business Reliability Document matters

A concise, complete document reduces operational ambiguity, supports contract compliance, and creates an auditable record for internal governance and third-party review. Properly executed records can be enforced as electronic agreements under the ESIGN Act (15 U.S.C. ch. 96) and UETA when state law applies, preserving legal validity for signatories.

Why a clear Business Reliability Document matters

Who prepares and who receives this document

Typical preparers, reviewers, and recipients vary by role and business function.

  • Procurement teams and vendor managers: gather vendor reliability details, compare offerings, and store documentation for audits and contract management.
  • IT and operations leads: provide technical uptime metrics, disaster recovery plans, and scheduled maintenance windows for review.
  • Compliance and legal reviewers: check obligations, governing law, signature authority, and retention instructions before approval.

Align distribution with contract and record-retention policies so the document is accessible to stakeholders and preserved per regulatory requirements.

Core sections to include in a professional Business Reliability Document

Organize the document into clear, named sections so reviewers can locate obligations, metrics, and evidence quickly.

Executive Summary

One- to two-paragraph overview of scope, covered services, service levels, and effective date to orient reviewers and decision-makers.

Reliability Metrics

Define measurable targets such as uptime percentage, mean time to recover (MTTR), maintenance windows, and reporting cadence for objective assessment.

Testing & Validation

Describe scheduled tests, frequency, acceptance criteria, and last test dates so auditors can verify ongoing reliability efforts and results.

Risk Mitigation

List redundancies, backup strategies, failover paths, and escalation tiers that reduce single points of failure and outline remediation steps.

Contacts & Escalation

Provide primary and secondary contacts, escalation phone/email, and expected response SLAs for incidents and compliance inquiries.

Sign-off & Attestation

Include signature blocks for authorized signers, effective date, and any required attestations confirming accuracy and authority to bind.

Step-by-step: preparing and finalizing the document

Follow these steps to prepare, validate, and archive the Business Reliability Document.

  • 01
Draft: Complete all sections and attach evidence, metrics, and test reports.
  • 02
Review: Legal and operations confirm language, metrics, and obligations.
  • 03
Sign: Authorized signers execute the signature block and date the document.
  • 04
Store: Archive final signed copy in the records management system with retention tags.

Recommended digital workflow settings for e-submission

Configure an electronic workflow that enforces field validation, signer order, and secure authentication for reliable processing.

Field Configuration
Authentication Method Email link, SMS code, or multi-factor authentication
Field Validation Require formats like MM/DD/YYYY and numeric percentages
Conditional Routing Route to legal if SLA exceeds threshold
Retention Setting Apply retention tags and export to records system

Where to send the completed Business Reliability Document

Use a controlled routing path so approvals and final copies are distributed consistently to required stakeholders.

  • Internal Reviewer: Send draft to operations and legal for internal sign-off
  • Executive Signoff: Route to authorized executive or contract signatory
  • Counterparty: Provide signed copies to vendor or client representatives
  • Records Archive: Store final PDF and audit trail in records management

Technical considerations for eSubmission and sharing

Ensure the chosen platform supports secure signing, reliable audit trails, and export to your storage systems.

  • File Formats: PDF, DOCX supported
  • Integrations: Connectors for cloud storage and CRM
  • Authentication: SMS, email, or advanced options

Confirm platform encryption, audit-trail retention, and compatibility with your records archive prior to finalizing workflows.
