PAYMENT TERMS

Client shall pay Service Provider for the assessment services and any subsequent agreed remediation work in accordance with the terms below. All invoices shall be payable in full in the currency indicated unless otherwise agreed in writing.

TERM AND TERMINATION

This report and any engagement governed by it commences on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon Notice Period (days): days' prior written notice. Termination for cause is permitted if the other party materially breaches obligations and fails to cure within the notice period specified in the written notice.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with the assessment and report. Confidential information does not include information that is (a) already in the receiving party's possession without obligation of confidentiality; (b) publicly available through no fault of the receiving party; or (c) lawfully obtained from a third party without restriction. The receiving party shall use reasonable measures to protect Confidential Information and shall only use it for purposes contemplated by this agreement.

GOVERNING LAW

This Business Reliability Report and any agreement arising from it shall be governed by and construed in accordance with the laws of State: , without regard to conflicts of law principles.

ENTIRE AGREEMENT

This report, together with any written appendices and executed amendments, constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations, and understandings. No modification shall be effective unless in writing and signed by both parties.

ACKNOWLEDGMENT AND CERTIFICATION
