What the Business Remedies Template Is and When It Applies

The Business Remedies Template is a standardized legal document used by companies to record agreed remedies and corrective actions when contractual obligations are breached. It frames remedies such as cure periods, liquidated damages, indemnities, specific performance, and termination clauses, and clarifies notice procedures, timelines, and dispute-resolution paths. The template helps ensure consistent remedies across agreements, supports internal approvals, and provides a clear record for enforcement or negotiation. While adaptable to industries and jurisdictions, the template should be reviewed for state-specific notarization, witness, and consumer-disclosure requirements before final execution.

Why a Standard Remedies Template Matters

The Business Remedies Template centralizes remedy options and procedural steps to reduce ambiguity in disputes, speed internal approvals, and standardize enforcement. Clear remedy language lowers litigation risk, supports auditability, and simplifies electronic execution when combined with compliant eSignature workflows under ESIGN and applicable state law.

Why a Standard Remedies Template Matters

Who Typically Prepares and Uses This Template

Typical users include in-house counsel, contract managers, procurement teams, and external counsel handling breach resolution and enforcement.

  • In-house counsel: drafts and approves remedy clauses to align with company risk tolerance.
  • Procurement and contract managers: implement templates in buying processes and track cure deadlines.
  • External counsel: advises on jurisdictional variations and negotiates remedy language for complex deals.

Organizations with recurring contract breaches or high-stakes procurements benefit most from formalized remedies and audit-ready records.

Timelines and Statutory Considerations to Define

Common timing elements and statutory deadlines to consider when setting cure periods, notice windows, and related filing obligations for remedies.

Cure Period Start:

Begins on delivery date of breach notice.

Cure Deadline Calculation:

Count calendar or business days as specified.

Notice Response Window:

Allow adequate time for investigation and cure.

Statutory Filing Deadlines:

File only if specific statute requires regulatory notice.

Record Retention Trigger:

Retention begins from execution or last effective date.

Common Mistakes to Avoid When Preparing the Template

  • Vague remedy language leading to disputes, such as unspecified damages, unclear cure triggers, or ambiguous calculation methods that invite litigation or prolonged negotiation.
  • Failing to align remedy clauses with governing law and jurisdiction, which can render enforcement difficult or allow undesired forum for dispute resolution.
  • Not specifying notice procedures or acceptable delivery methods; missing proof-of-service rules can invalidate cure notices or delay remedy enforcement.
  • Assigning signatures to unauthorized representatives or omitting corporate authorization details, increasing the risk that a signed template will be challenged or set aside.

Penalties and Risks of an Incorrect or Incomplete Template

Loss of Remedies: Ambiguous terms reduce recoverable relief
Increased Litigation: Higher legal costs and delays
Regulatory Penalties: When statutory notices are missed
Signature Challenge: Unauthorized signatory voids signature
Notarization Failure: Incorrect notary invalidates filing
Financial Exposure: Uncapped damages exceed forecasts
