RECITALS

The obligations set forth in this Section shall continue for a period of following termination or expiration of this Addendum, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the authority to enter into this Addendum and that the execution and performance of this Addendum will not violate any agreement to which it is a party or any applicable law.

6. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

7. ENTIRE AGREEMENT; AMENDMENT

This Addendum, together with the Original Agreement identified above, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. No amendment or modification of this Addendum shall be binding unless executed in writing and signed by authorized representatives of both parties.

8. MISCELLANEOUS

Severability: If any provision of this Addendum is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
