BUSINESS RENEWAL AGREEMENT

This Business Renewal Agreement ("Agreement") is made effective as of by and between:

WHEREAS

WHEREAS, the parties desire to renew and restate certain terms of the original agreement and set forth the renewed scope of services, payment obligations, and other terms and conditions contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

The Renewing Party shall perform the Services described above in a professional manner consistent with industry standards. Any change to the Scope of Work will require a written change order signed by authorized representatives of both parties.

PAYMENT TERMS

If any payment is not received by Company within days after the due date, a late fee of (fee or percentage) shall accrue, calculated monthly on the outstanding balance or as a flat fee as specified above.

All payments shall be made in U.S. dollars unless otherwise agreed in writing. Taxes imposed on the transactions contemplated by this Agreement are the responsibility of the party required to pay such taxes under applicable law.

TERM AND TERMINATION

This Agreement shall commence on and, unless earlier terminated as provided herein, shall continue in effect until

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the proposed termination date. Either party may terminate immediately for cause if the other party materially breaches any obligation under this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon expiration or termination, the Renewing Party shall promptly deliver to Company all work product, confidential materials, and other items belonging to Company, and Company shall pay all undisputed amounts then due for services performed through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means any business, technical, financial or other information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (a) maintain the confidentiality of the Disclosing Party's Confidential Information using the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not use the Confidential Information for any purpose outside the scope of this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

Confidential obligations shall not apply to information that: (i) is or becomes generally available to the public through no fault of the Receiving Party; (ii) was in the Receiving Party's possession prior to receipt from the Disclosing Party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information. The obligations under this section shall survive termination of this Agreement for unless a longer period is required by law.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand delivery, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be deemed given upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for purposes of any dispute arising under this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign or delegate this Agreement or any rights or obligations hereunder without the prior written consent of the other party, which consent shall not be unreasonably withheld, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets or change of control.

Amendment: This Agreement may be amended only by a written instrument executed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed only to the extent necessary to make it enforceable.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the parties.

The parties acknowledge that they have read this Agreement, understand it, and agree to be bound by its terms.
