BUSINESS RENEWAL DATA

Parties

This Business Renewal Data and Services Agreement (the Agreement) is entered into as of between:

WHEREAS

WHEREAS, Applicant operates the business identified above and seeks renewal of regulatory, licensing or administrative registrations that may require administrative processing and payment of renewal fees; and

WHEREAS, Service Provider (the Provider) is engaged to prepare, file and process the renewal submissions on behalf of the Applicant and to provide related advisory services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth in writing the scope of renewal services, payment obligations, confidentiality protections, and the parties' respective responsibilities.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Automatic renewal for successive terms   Renewal only upon written election by Applicant

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure such breach within the notice period specified above; termination shall not relieve Applicant of payment obligations for services rendered through the effective date of termination.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other. Confidential Information includes non-public business, financial and regulatory data, client lists, and renewal strategies. Recipient shall (a) treat Confidential Information as proprietary; (b) use such information only for performance under this Agreement; and (c) not disclose such information to third parties except to employees, accountants or legal counsel who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein. Confidentiality obligations survive termination for a period of three (3) years.

Representations and Warranties

Applicant represents that all information provided to Provider is true, accurate and complete to the best of Applicant's knowledge. Provider represents that it will perform services in a professional manner consistent with industry standards, but does not guarantee regulatory approvals.

Indemnification

Each party shall indemnify and hold harmless the other against third-party claims arising from the indemnifying party's breach of this Agreement, gross negligence or willful misconduct. The indemnified party shall provide prompt written notice of any claim and permit the indemnifying party to defend such claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered in the county of the governing law state, unless the parties mutually agree otherwise in writing.

Entire Agreement

This Agreement, together with any exhibits and attachments executed by the parties, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.
