Business Renewal Agreement

This Business Renewal Agreement ("Agreement") is made effective as of by and between Company Name: with principal place of business at ("Company") and Service Provider: with principal place of business at ("Provider").

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the desired termination date. Either party may terminate for material breach if such breach remains uncured thirty (30) days after written notice of the breach. Termination for insolvency, bankruptcy, or suspension of business shall be effective immediately upon notice.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether oral or written, that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees: (a) to use Confidential Information solely for performance of this Agreement; (b) to limit disclosure to those employees, agents, or contractors who need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) to exercise at least the same degree of care to protect Confidential Information as it uses with its own similar information, but in no event less than reasonable care.

Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party free of obligation of confidentiality, or is independently developed without use of the other party's Confidential Information. Upon termination or written request, the receiving party shall return or destroy the disclosing party's Confidential Information and certify such return or destruction in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits and the original agreement as expressly amended herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section. Notices shall be deemed given upon receipt when delivered in person, by certified mail, or by a nationally recognized courier service.
