WHEREAS, the Business has previously entered into certain agreements, registrations and authorizations requiring periodic renewal and administrative actions to maintain lawful good standing; and

WHEREAS, the Renewal Coordinator has been engaged to prepare, assemble and file the necessary renewal documents and to coordinate payment of required fees on behalf of the Business in accordance with the terms set forth below; and

WHEREAS, the parties desire to set forth the terms of such renewal services and associated obligations in this Agreement effective as of the Effective Renewal Date set forth below.

Scope of Work

The Renewal Coordinator shall perform the following services in connection with the renewal of the Business's registrations, licenses, and filings. The Coordinator shall act with reasonable care and in accordance with customary professional standards:

Payment Terms

Service Fee (base):

Third-Party Fees: The Business shall reimburse the Renewal Coordinator for all third-party governmental or filing fees paid on behalf of the Business. Reimbursable fees will be invoiced and payable within 15 days of invoice receipt unless otherwise agreed in writing.

Late Fee: per month on overdue balances, compounded monthly, and/or a flat administrative late charge of , at the Coordinator's election.

Term and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within 14 days after receipt of written notice specifying the breach.

Effect of Termination: Upon termination, the Business shall pay all accrued fees, reimbursable expenses, and costs incurred through the effective date of termination. Sections concerning confidentiality, indemnity, payment of fees, and governing law shall survive termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial and operational information disclosed in tangible or intangible form. The receiving party shall:

(a) hold Confidential Information in confidence and not disclose it to third parties except to those employees, agents or contractors who have a need to know and are bound by obligations of confidentiality at least as restrictive as those contained herein; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is (i) in the public domain through no fault of the receiving party, (ii) rightfully received from a third party without restriction, or (iii) independently developed without reference to the disclosing party's Confidential Information.

Indemnification and Liability

Each party agrees to indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses or expenses arising from its gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable for consequential, incidental or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising under this Agreement.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written negotiations, proposals, understandings or agreements. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Additional Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that the Renewal Coordinator may assign to an affiliate or in connection with a sale of substantially all of its assets.

Relationship of the Parties: The Renewal Coordinator performs services as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship.
