WHEREAS

WHEREAS, the Renewing Business previously entered into an agreement for the provision of services and desires to renew the rights and obligations set forth therein for an additional term under the terms and conditions contained in this Renewal Form;

PAYMENT TERMS

The Renewing Business agrees to pay the Service Provider the renewal fee and any applicable charges in accordance with the schedule below. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

Unless otherwise provided herein, nonpayment that continues for more than days following written notice shall constitute a material breach permitting suspension of services and pursuit of available remedies.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach is effective upon written notice if the breach is not cured within days after receipt of notice specifying the breach.

Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was known to the receiving party without restriction prior to disclosure, or is rightfully obtained from a third party without restriction.

GOVERNING LAW

ENTIRE AGREEMENT
