RECITALS

WHEREAS, the Service Provider: and the Client: previously entered into a service agreement effective (the "Existing Agreement").

WHEREAS, the parties desire to renew and amend the Existing Agreement on the terms set forth in this Business Renewal Letter to continue the provision of services described herein for an additional term commencing on .

NOW, THEREFORE, in consideration of the mutual promises contained in this Renewal Letter, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Renewal Fee: The Client shall pay the Service Provider a renewal fee in the amount of (USD) in accordance with the schedule below.

All payments are due as set forth above. Unless otherwise expressly agreed in writing, Client is responsible for any collection costs, interest, or attorney fees incurred to collect overdue amounts.

TERM AND TERMINATION

Term: The renewal term shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination: Either party may terminate this Renewal Letter upon written notice to the other party delivered at least days prior to the intended termination date. In addition, either party may terminate for material breach if the breaching party fails to cure such breach within 30 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

All non-public information disclosed by one party to the other in connection with the Existing Agreement and this Renewal Letter, whether disclosed orally or in writing and identified as confidential or that reasonably should be understood to be confidential, shall be maintained in strict confidence and not disclosed to third parties except as required by law. Each party shall use the same degree of care to protect the other party's Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

Confidential Information does not include information that: (a) is or becomes generally available to the public through no wrongful act of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure by the disclosing party; or (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Renewal Letter shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any disputes arising out of this Renewal Letter.

ENTIRE AGREEMENT

This Renewal Letter, together with the Existing Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties. No amendment or modification of this Renewal Letter shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Renewal Letter without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Severability: If any provision of this Renewal Letter is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
