Recitals

WHEREAS, Client Name: desires to renew or procure the services described herein in order to maintain ongoing business compliance and operational continuity; and

WHEREAS, Service Provider Name: has the necessary expertise and capacity to provide such renewal services on the terms set forth in this Quote; and

WHEREAS, the parties wish to set forth the scope, price, schedule and other material terms under which the Provider will perform renewal services for the Client.

Unless otherwise agreed in writing, late payments shall incur the Late Fee set forth above, and Client shall also be responsible for reasonable costs of collection, including attorney's fees. Provider may suspend performance for payments more than days past due after providing written notice.

Either party may terminate this Quote and any resulting agreement for material breach by the other party if the breach is not cured within days following written notice. Either party may terminate without cause by providing days' prior written notice. Termination shall not relieve Client of payment obligations for services performed prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is marked confidential or would reasonably be understood to be confidential (Confidential Information). Confidential Information shall be used solely for performance under this Quote. Confidential Information shall not include information that is or becomes publicly available other than through breach of this obligation, that is independently developed without reference to the other's Confidential Information, or that a party is required to disclose by lawful order; provided that the disclosing party shall be given prompt notice to seek protective measures. The obligations in this paragraph survive termination for years.

Governing Law

This Quote and any resulting agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for disputes shall be in the state or federal courts located in that state unless otherwise agreed in writing.

Entire Agreement

This Quote, together with any attachments, schedules and exhibits explicitly incorporated by reference, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations and agreements, whether written or oral. No modification of this Quote shall be effective unless in writing and signed by authorized representatives of both parties.
