BUSINESS REPRESENTATIVE AGREEMENT

Recitals

WHEREAS, Principal Name: is engaged in the business of selling and licensing certain goods and services; and

WHEREAS, Representative Name: has experience and contacts suitable to solicit orders and perform promotional activities on behalf of Principal; and

WHEREAS, the parties desire to set forth their respective rights and obligations concerning Representative's appointment for a defined term under the terms and conditions set forth below.

Scope of Work

Representative shall, on a non-exclusive basis unless otherwise agreed in writing, perform the services described below and shall use commercially reasonable efforts to solicit orders, develop leads, introduce Principal to prospective customers, and perform such marketing and promotional activities as expressly authorized by Principal.

Payment Terms

Principal shall pay Representative the compensation described below in consideration for services rendered under this Agreement. All amounts payable are exclusive of applicable taxes unless otherwise stated.

If any undisputed payment is not received by Principal within the time set forth in the Payment Schedule, interest shall accrue on the overdue amount at the lesser of the rate specified in the Late Payment Fee field above or the maximum rate permitted by applicable law. Representative shall not be entitled to suspend performance for disputed amounts that are subject to bona fide dispute so long as Representative continues to provide services not subject to the dispute.

Term and Termination

This Agreement commences on Effective Date: and, unless earlier terminated in accordance with this Agreement, will continue until Term End Date: .

Either party may terminate this Agreement for convenience upon providing the other party with the written notice specified above. Either party may terminate immediately for material breach by the other that remains uncured for thirty (30) days after written notice of such breach, or immediately upon insolvency or appointment of a receiver for the other party.

By checking this box, parties agree that this Agreement shall automatically renew for successive periods of the same duration unless either party provides the termination notice set forth above prior to the then-current term's expiration.

Confidentiality

Representative acknowledges that in the course of performance Representative will receive or have access to confidential and proprietary information of Principal, including customer lists, pricing, trade secrets, business plans, and technical information ("Confidential Information"). Representative shall maintain Confidential Information in strict confidence, shall not use Confidential Information except as necessary to perform under this Agreement, and shall not disclose Confidential Information to any third party without Principal's prior written consent.

Additional Provisions

Independent Contractor. Representative is an independent contractor and not an employee, partner or agent of Principal. Representative has no authority to bind Principal or incur obligations on Principal's behalf except as expressly authorized in writing.

Non-Solicitation. During the term of this Agreement and for a period of twelve (12) months following termination, Representative shall not solicit or attempt to solicit any customer of Principal with whom Representative had direct contact as a result of performing services under this Agreement.

Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

Entire Agreement. This Agreement, including any exhibits or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements, understandings, or representations. No amendment or modification of this Agreement will be binding unless in writing and signed by both parties.

Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Electronic signatures shall be valid and enforceable as originals.
