BUSINESS REPRESENTATIVE AGREEMENT

This Business Representative Agreement (the Agreement) is made and entered into as of by and between Client Name: and Representative Name: .

RECITALS (WHEREAS)

WHEREAS, Client is engaged in the business of offering certain products and services and desires to appoint Representative to solicit orders, introduce business opportunities and perform promotional and liaison activities as set forth in this Agreement; and

WHEREAS, Representative has represented that Representative has the capability, qualifications and contacts to perform the services described herein and agrees to perform such services in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties wish to set forth the terms under which Representative will act on behalf of Client, including compensation, term, confidentiality, and governing law.

1. SCOPE OF WORK

Representative shall perform the following duties and responsibilities on behalf of Client. Representative will act as an independent contractor and not as an employee. Representative will use commercially reasonable efforts to solicit business, introduce prospective customers, coordinate meetings, and assist in negotiations as requested by Client. Representative shall comply with all applicable laws and Client policies provided in writing.

2. PAYMENT TERMS

Client shall pay Representative compensation for services rendered as set forth below. Compensation is consideration for Representative's services only and does not create an employment relationship.

Client shall reimburse Representative for pre-approved, reasonable out-of-pocket expenses incurred in performance of the services upon submission of appropriate documentation. All payments due to Representative that are not paid within five (5) business days of the due date shall accrue the Late Payment Fee specified above and may suspend Representative's performance until amounts are cured.

3. TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

4. CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by a disclosing party to the receiving party, whether disclosed orally, in writing, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Representative shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as required to perform obligations under this Agreement, and shall use Confidential Information solely for the purposes of performing its obligations hereunder.

The obligations in this Section shall not apply to information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was in the receiving party's possession prior to receipt from the disclosing party; (c) is rightfully received from a third party without restriction and without breach of a duty to the disclosing party; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information. Upon termination or expiration of this Agreement, receiving party shall return or destroy all Confidential Information as requested by the disclosing party.

5. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law rules that would apply the laws of another jurisdiction.

6. ENTIRE AGREEMENT

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by duly authorized representatives of both parties.

7. ADDITIONAL PROVISIONS

Relationship of the parties: Representative is an independent contractor and shall be responsible for all taxes and duties arising from compensation paid to Representative. Representative shall not bind Client to any obligation without Client's prior written consent.

Remedies: Monetary damages may be inadequate to protect a party against breach of the confidentiality or non-compete obligations; accordingly, in addition to other remedies, the non-breaching party shall be entitled to injunctive relief to prevent continuing or threatened breaches.
